Executive Mandate Summary

A construction borrower seeking a Rs 10 crore facility enhancement had reported EBITDA of Rs 9.8 crore and DSCR of 1.7x. Northrop's review of project accounting estimates identified Rs 6 crore of adjustments, including Rs 1.8 crore of expected loss on onerous Project P9. Adjusted EBITDA fell to Rs 5.6 crore and DSCR to 0.95x, indicating that the existing debt itself was only marginally serviceable. The lender therefore declined the enhancement and restructured the existing facility, reducing quarterly instalments by 15% and extending tenure by eight months. Quarterly estimation controls were implemented, reducing the variance between engineer estimates and cost-based calculations from 15% to 4%.

Key Transaction & Governance Challenges

  • •
Reported project performance did not fully reflect the updated cost and completion estimates.
  • •
Project P9 had an expected loss of Rs 1.8 crore that required recognition in the current period.
  • •
After the accounting adjustments, DSCR reduced from 1.7x to 0.95x.
  • •
The requested Rs 10 crore enhancement was not supportable against the borrower's adjusted cash-generation capacity.

Northrop Execution Architecture & Methodology

1
Each active construction project was reassessed using a cost-based input method and compared with the engineer's physical-progress estimate.
2
Estimated costs to complete were refreshed using actual cost trends, approved scope changes and identified project risks rather than relying on the original bid estimate.
3
Projects where updated total estimated cost exceeded contract value were flagged for onerous-contract assessment, with foreseeable losses recognised in the relevant period.
4
The resulting accounting adjustments were reflected in EBITDA and DSCR to determine the borrower's actual debt-service capacity and support an appropriate lender decision.

Section 1 - The Credit Question

The lender was evaluating a Rs 10 crore facility enhancement for a construction borrower that reported EBITDA of Rs 9.8 crore and DSCR of 1.7x.

The underlying question was whether reported project economics accurately reflected the borrower's sustainable cash-generation capacity.

Section 2 - Project Estimate Review

Project completion estimates were recalculated using cost-based inputs and compared with engineer-reported physical progress.

The exercise tested whether reported revenue and profitability appropriately reflected actual project economics.

Section 3 - Onerous Contract - Project P9

Project P9 carried an expected loss of Rs 1.8 crore. The loss was identified as an onerous-contract loss and required recognition in the current period.

Section 4 - Reassessment of Credit Metrics

After the identified Rs 6 crore of adjustments, reported EBITDA of Rs 9.8 crore reduced to Rs 5.6 crore. DSCR reduced from 1.7x to 0.95x.

This changed the credit assessment materially: the existing Rs 37 crore debt was already only marginally serviceable under the previous repayment schedule.

Verifiable Institutional Outcomes & Value Realized

  • The Rs 10 crore facility enhancement was declined after adjusted DSCR fell to 0.95x.
  • The repayment schedule was revised to better align with actual cash-generation capacity.
  • Quarterly instalment reduced by 15%.
  • Facility tenure extended by 8 months.

Case Study: Ghost Trainees and Unverified Placements in a Skill Development NGO

A skill development NGO reported that 1,200 youth had been trained and 840 placed in jobs under a programme funded through a ₹1.4 crore CSR contribution. The reported 70% placement rate prompted an independent review of beneficiary records, training delivery, placement claims and programme expenditure. Northrop Management Private Limited conducted a forensic verification covering beneficiary deduplication, attendance records, direct beneficiary calls, employer confirmations, offer letters, salary claims and the underlying financial trail.
