Executive Mandate Summary

A large industrial enterprise entered a corporate insolvency resolution process. The resolution professional required financial and transactional examination across the statutory look-back periods, in a form capable of supporting filings before the adjudicating authority and withstanding adversarial challenge. The engagement secured and inventoried records, independently reconstructed group and related party relationships, examined transactions against statutory indicators, and delivered working papers assembled to filing standard throughout. At approximately INR 2,000 Crore, this was the largest single CIRP exposure handled by the team. This mandate demonstrates how CIRP Audit Support India can provide structured transaction examination and evidentiary support when resolution timelines are fixed and historical records are incomplete.

Key Transaction & Governance Challenges

  • •
The look-back periods are fixed by statute, but the records are not organised around them and rarely survive intact. The people who can explain the record are the people whose conduct is being examined.
  • •
In distressed industrial groups, the relationships that matter to a determination are frequently the ones that were never disclosed. They are visible only through independent mapping from filings, shareholding records, directorship overlaps and transaction patterns.
  • •
The resolution process timeline is fixed. Evidentiary difficulty, incomplete records and uncooperative erstwhile management do not earn extensions. The work programme must be sequenced to deliver the statutory determinations first.
  • •
Working papers may be examined years later, in proceedings, without the original team available to explain them. Every paper must be self-standing, because the reader will be hostile and the preparer will not be in the room.
  • •
The resolution professional bears personal statutory responsibility for the determinations the work supports. This raises the standard above ordinary audit comfort and makes documentation discipline the binding constraint.

Northrop Execution Architecture & Methodology

1
Records secured and inventoried within days of appointment, custody protocol established. Completeness gaps identified and formally recorded as gaps rather than assumed away, because in an insolvency context an assumption inserted quietly into a working paper is the single most likely point of failure under challenge.
2
Group structure, related party relationships and connected counterparties mapped from filings, registers and transaction patterns rather than from disclosures alone. Independent reconstruction completed before transaction examination began.
3
Transaction-level examination against the statutory look-back periods: transfers to related parties, transactions at values inconsistent with commercial terms, payments that improved the position of one creditor relative to others, and movements immediately preceding the onset of stress. Each flagged transaction documented with date, counterparty, value, supporting record and reason.
4
Query sets addressed to management and erstwhile officers, responses assessed. Observations documented with statutory reference. Working papers assembled to filing standard throughout, not retrospectively at the end, so the file could support filings before the adjudicating authority.

The question behind the mandate

In the time the process allows, what does the historical transaction record actually show, and can it be documented well enough to support determinations that will be filed and challenged?

The resolution professional carries personal statutory responsibility for determinations about the historical conduct of the corporate debtor, and must reach those determinations on records assembled by the management now displaced, within a timeline that does not extend to accommodate difficulty. That combination, personal accountability on someone else's records under statutory time pressure, defines the engagement. The work had to satisfy two standards at once: complete enough to be relied upon, and documented to a level where a third party reviewing the file years later could retrace the basis of every observation without the original team present.

The analytical spine

Four workstreams carried the examination, with emphasis throughout on identifying transactions that require a determination and documenting them to a standard that survives adversarial scrutiny.

Transactions within the statutory look-back periods were examined for indicators that trigger determinations: transfers to related parties, transactions at values inconsistent with commercial terms, preferential payments, and movements immediately preceding the onset of stress. Related party relationships were reconstructed from statutory filings, shareholding records, directorship overlaps, common addresses and transaction patterns, rather than accepted from disclosures. End use of material disbursements was tested against sanctioned purpose. Balance sheet anomaly analysis assessed sundry creditor and debtor balances against operating scale, and pricing analysis compared related party transactions against arm's length benchmarks. Each finding was documented with its date, counterparty, value, supporting record and the reason it was flagged.

What made the difference

Three disciplines separated this engagement from CIRP support work that does not survive challenge.

First, statutory framing from day one. The examination was organised around the determinations the resolution professional had to make, not around a general audit programme. Work organised the other way produces a great deal of analysis and very little that maps to a filing.

Second, documentation written for a reader who is not in the room. Every working paper was prepared on the assumption it would be read years later, by someone hostile, without the preparer available. That assumption changes how papers are written, and it is the difference between a file that supports a determination and one that undermines it.

Third, gaps recorded as gaps. Where records were incomplete, the incompleteness was documented rather than bridged by assumption. In an insolvency context an assumption inserted quietly into a working paper is the single most likely point of failure under challenge.

Consider this work if you are facing

A corporate insolvency resolution process where the corporate debtor has a complex group structure. Statutory determinations required on look-back transactions within a compressed timeline. Records assembled by displaced management, with completeness in doubt. Related party relationships suspected to extend beyond what was disclosed. Asset movements in the period preceding commencement that require examination. A previous examination that a resolution professional could not comfortably rely upon. Creditor pressure for an evidenced position rather than a summary view.

Verifiable Institutional Outcomes & Value Realized

  • The resolution professional received a documented, source-referenced basis for every determination required under the statutory framework, delivered within the process timeline without extension.
  • Group and related party relationships mapped from statutory filings, registers and transaction patterns rather than accepted from disclosures, surfacing relationships that were never disclosed but were material to the determinations.
  • Every working paper prepared on the assumption it would be read years later by someone hostile without the preparer available. The file could be retraced by an independent reviewer without the original team present.
  • Where the examination did not identify indicators requiring a determination, that position was documented to the same standard as an adverse finding, so the resolution professional could evidence the scope and depth of what had been examined.

Case Study: Ghost Trainees and Unverified Placements in a Skill Development NGO

A skill development NGO reported that 1,200 youth had been trained and 840 placed in jobs under a programme funded through a ₹1.4 crore CSR contribution. The reported 70% placement rate prompted an independent review of beneficiary records, training delivery, placement claims and programme expenditure. Northrop Management Private Limited conducted a forensic verification covering beneficiary deduplication, attendance records, direct beneficiary calls, employer confirmations, offer letters, salary claims and the underlying financial trail.
