Executive Mandate Summary

Comprehensive buy-side financial and tax due diligence for an international engineering group acquiring a high-precision components manufacturer in Maharashtra with European export pipelines.

Key Transaction & Governance Challenges

  • •
Promoter-led related party transactions distorting reported gross margins by 420 bps across domestic procurement entities.
  • •
Working capital distortions across 3 seasonal quarters with export inventory and advance payments un-reconciled.
  • •
Uncertainty surrounding intellectual property transfer and pending GST export refund reconciliations under SEZ/EOU provisions.
  • •
Hidden employment benefit liabilities and un-accrued gratuity obligations across two legacy manufacturing facilities.

Northrop Execution Architecture & Methodology

1
Quality of Earnings (QoE) scrutiny on historical 36-month P&L and related-party supplier arrangements.
2
Working capital peg formulation and normalisation against true 12-month trailing operational cycle.
3
Cross-border tax structuring under India-Singapore DTAA to optimize holding company capitalization and future dividend repatriation.
4
Drafting specific indemnity clauses and ₹30 Cr escrow retention against identified direct & indirect tax exposures.

Executive Mandate Overview

A tier-one European industrial equipment group headquartered in Munich, operating via its Singapore holding subsidiary, entered into exclusivity to acquire a 100% equity stake in a Pune-based precision component manufacturer. The target company reported strong historical revenues and an attractive 21.4% EBITDA margin. However, the acquirer required rigorous verification of reported numbers, identification of owner-related distortions, and structural validation of export revenue pipelines.

Key Dilemma & Investigative Discovery

During our 4-week on-site and virtual data room review, Northrop's transaction advisory team identified multiple layers of operational intertwining between the promoter's privately held supplier entities and the target company. Raw material procurement had been artificially routed through related third parties at subsidized rates, while administrative overheads were partially absorbed by sister entities. Adjusting for arms-length pricing and recurring executive compensation reduced sustainable EBITDA by US$ 3.2 Million.

Transaction Structuring & Final Resolution

Armed with Northrop's Quality of Earnings (QoE) report and tax exposure matrix, the acquirer's deal team restructured the headline valuation from US$ 45M to US$ 40.5M. Furthermore, Northrop structured a ₹30 Cr deferred escrow retention specifically indemnifying the buyer against pending legacy GST export refund disputes and employee retirement accruals. The transaction closed successfully with zero post-closing surprises.

Verifiable Institutional Outcomes & Value Realized

  • Identified $3.2M in non-recurring promoter perks, personal real estate leases, and un-hedged foreign exchange exposure.
  • Successfully negotiated a $4.5M purchase price reduction prior to definitive share purchase agreement (SPA) execution.
  • Structured an 18-month escrow mechanism protecting the international acquirer from historical indirect tax liabilities.
  • Established day-one post-closing financial control matrix and Ind AS transition timetable for group consolidation.

Case Study: Ghost Trainees and Unverified Placements in a Skill Development NGO

A skill development NGO reported that 1,200 youth had been trained and 840 placed in jobs under a programme funded through a ₹1.4 crore CSR contribution. The reported 70% placement rate prompted an independent review of beneficiary records, training delivery, placement claims and programme expenditure. Northrop Management Private Limited conducted a forensic verification covering beneficiary deduplication, attendance records, direct beneficiary calls, employer confirmations, offer letters, salary claims and the underlying financial trail.
