Executive Mandate Summary

A growth-stage B2B SaaS company preparing for a Series A fundraise had a financial model projecting Rs 85 crore of Year 5 ARR, a 28% EBITDA margin and a 24% investor IRR. Northrop's audit identified three hard-coded assumptions and a circular reference that collectively inflated projected revenue by Rs 18 crore and valuation by Rs 22 crore. Northrop then tested the model's assumptions against actual business performance, revealing significant gaps in churn, CAC and net revenue retention. After correcting the model, Year 5 ARR reduced to Rs 42 crore, EBITDA margin to 14% and IRR to 11%. The corrected model was subsequently presented to investors.

Key Transaction & Governance Challenges

  • •
The model was visually clean and appeared internally consistent, but contained hard-coded values embedded within calculation sheets.
  • •
A circular reference in the cash-flow model caused outputs to change depending on spreadsheet iteration settings and computer configuration.
  • •
Key growth assumptions were materially more optimistic than the company's historical performance supported.
  • •
The model was being used as a key basis for investor valuation and Series A negotiations, increasing the importance of formula integrity and assumption credibility.

Northrop Execution Architecture & Methodology

1
Northrop tested the calculation rows across all projection periods and identified three hard-coded overrides: a 5% churn assumption replacing a formula-driven 12%, CAC of Rs 15,000 replacing Rs 38,000, and 15% ARPU growth replacing a formula-driven 6%.
2
The cash-flow model was tested for circular references. The identified circularity linked cash balance, interest income and profit back into cash balance, producing inconsistent outputs depending on iteration settings.
3
Historical model assumptions were compared with actual performance. Year 1 churn was assumed at 15% versus actual 22%, CAC at Rs 22,000 versus actual Rs 41,000, and NRR at 110% versus actual 94%.
4
Hard-coded values were restored to formulas, the circular reference was resolved and assumptions were recalibrated using back-tested performance. The corrected model was then prepared for investor presentation.

Section 1 - The Central Issue

The company's financial model projected Rs 85 crore of ARR in Year 5, a 28% EBITDA margin by Year 4 and a 24% investor IRR.

Although the model appeared well-structured, its calculation logic contained three hard-coded values and one circular reference that materially affected the outputs.

Section 2 - Formula Integrity

Northrop tested every calculation row for consistency across projection periods.

This uncovered hard-coded churn, CAC and ARPU growth assumptions that overrode formula-driven calculations.

Section 3 - Circularity Review

A circular reference existed in the cash-flow sheet, causing the cash balance to influence interest income, which influenced profit, which then fed back into the cash balance.

The result was model-output variability depending on spreadsheet iteration settings.

Section 4 - Back-Testing the Assumptions

Northrop compared the model's assumptions with actual historical performance.

The exercise showed that the model assumed lower churn, lower CAC and higher NRR than the company had actually achieved.

Verifiable Institutional Outcomes & Value Realized

  • Three hard-coded cells and one circular reference were identified.
  • Year 5 ARR reduced from Rs 85 crore to Rs 42 crore.
  • The model's implied valuation was reduced by Rs 22 crore after correcting the underlying errors and assumptions.
  • Projected IRR reduced from 24% to 11%.

Case Study: Ghost Trainees and Unverified Placements in a Skill Development NGO

A skill development NGO reported that 1,200 youth had been trained and 840 placed in jobs under a programme funded through a ₹1.4 crore CSR contribution. The reported 70% placement rate prompted an independent review of beneficiary records, training delivery, placement claims and programme expenditure. Northrop Management Private Limited conducted a forensic verification covering beneficiary deduplication, attendance records, direct beneficiary calls, employer confirmations, offer letters, salary claims and the underlying financial trail.
